Nine Years in the Making

We wanted to modernize Jamaica. We learned that changing a country takes patience, resources, and a different kind of approach. This is the story of how a failed ride-hailing app became the foundation for something much bigger.

2016

The Dream That Didn't Work—Yet

We launched Get There, a ride-hailing app for Jamaica. We believed technology could modernize how people moved. But we hit the classic chicken-and-egg problem: not enough drivers, not enough riders. The app didn't take off. But to manage our small team, we'd built a simple internal tool called "Jamaker"—a ledger and operations system. That tool survived.

2017

The Realization

Get There built our reputation. People started asking us to build software for them. On July 17, 2017, we founded Gizzada Software. We realized something: if we couldn't modernize Jamaica by starting new companies, maybe we could do it by empowering the ones that already existed. We became a custom software shop—but Jamaker stayed with us. We kept improving it because we needed it to run our own business.

2017–2020

Building What We Needed

While serving clients by day, we built Jamaker by night. Invoicing, planning, payroll, CRM—every feature exists because we needed it ourselves. We looked for an affordable, all-in-one tool for Caribbean businesses. It didn't exist. So we built it. Not to sell—just to run our company better.

2020

The Bet on Ourselves

Christopher started building a website/app development kit inside Jamaker. From 2020 onward, every client project was built using this stack. We stopped handing clients off to third-party hosting. Jamaker became the server. We moved faster. Clients got better products. The platform was taking shape—though we didn't call it that yet.

2023

The Question That Changed Everything

In DBJ's Ignite accelerator, our coach looked at our books and noticed something: three doctors were paying us for hosting, ERP subscriptions, and email. "Why not go after more doctors?" That simple question led us to Dr. Franco Pencle, who saw immediately what Jamaker could become for healthcare. The patient module was born. We called it ElecareAI.

2024

The Hardest Part: Waiting

We showed ElecareAI to clinics. The feedback was strong—doctors wanted this. But Joel and I were still running Gizzada full-time, serving clients as part-time-CTO-for-hire. The product was ready. We weren't. Not yet. We needed breathing room to make the leap.

April 17, 2025

The Leap

We pressed the button. Phoros Cloud went live. We stopped taking new Gizzada clients. After nine years of building on the side, we went all-in on the platform and ElecareAI. Everything we'd built—every late night, every feature we made because we needed it—was finally the main thing.

August 2025

Diving Into the Deep End

We flew to St. Vincent, Barbados, and Trinidad. We knocked on doctors' doors. We demoed ElecareAI to anyone who would listen. Real sales began. We came back with ~30 warm leads—doctors who said "we would use it." It was terrifying and exhilarating. After years of building in the background, we were finally selling what we'd made.

Today

This Is Not a Fluke

August: $840 MRR. November: $1,555 MRR. That's 85% growth in three months. To us, this isn't luck—it's validation. Nine years of patient, practical, visionary development put us here. The bootstrap approach meant we built relationships with hundreds of businesses. We gathered knowledge. We understood what Caribbean companies actually need. Now, with AI joining us, we have a foundation that can enter any vertical we choose. We just need capital to accelerate.

"Building what Phoros is required time and patience. The bootstrap approach was the right way—it meant we got access to a lot of businesses and gathered the knowledge to inform the development and design of our system. It is that patient, practical, and visionary development that has put us in a position where now that AI has joined us, we have a foundation that enables us to stably enter as many verticals as we might wish."

— Christopher Gayle, CEO & CTO

One Platform, Infinite Verticals

We're raising to scale ElecareAI (healthcare) first because that's where we have traction and partnerships. But the same platform already powers logistics, retail, and media businesses.

Key Terms You'll See on This Page

We use some industry terms throughout this document. Here's what they mean in plain English.

MRR / ARR

Monthly / Annual Recurring Revenue. The subscription revenue we collect each month (MRR) or year (ARR). Our current MRR is $1,555; our break-even target is $42K MRR.

SAFE

Simple Agreement for Future Equity. An investment instrument where you invest now and receive equity later when we raise a priced round or have a liquidity event. Our SAFE has a $10M valuation cap.

ERP

Enterprise Resource Platform. The business management suite: point of sale, payroll, inventory, CRM, invoicing—all in one place. This is what Phoros provides to any business.

EMR / EHR

Electronic Medical / Health Records. Digital patient charts, clinical notes, and health data. ElecareAI provides this to healthcare practices.

TAM / SAM / SOM

Total / Serviceable / Obtainable Market. TAM is everyone who could theoretically buy. SAM is the portion we can reach. SOM is what we realistically expect to capture.

CAC / Payback

Customer Acquisition Cost. What we spend to acquire one customer. Payback is how long until that customer's revenue covers the cost.

IDE

Integrated Development Environment. Our internal toolkit that lets us (and partners) build custom apps quickly on the Phoros platform.

Continuity Mesh

Resilient Network Infrastructure. Hardware and software that keeps businesses running during internet outages—critical in the Caribbean where hurricanes and infrastructure issues are common.

Where We Are Today

Seven months since launch. Four countries with live deployments. Real revenue growing month over month. Here's the honest picture.

  • Marketing campaigns and conference presence across Jamaica, Trinidad, Barbados, Guyana
  • Partner channel development for regional expansion
  • Runway to reach break-even without distraction from consulting work

The Path to Break-Even

Before ambitious growth targets, there's one number that matters: $42K MRR. That's where revenue covers operating costs at peak sales & marketing execution—making us self-sustaining.

Current State (December 2025)

Current MRR

$1,555

Growing 85% over past 3 months

Current Burn

~$6,000

Lean operations: $650 platform + team

Target Burn

$42,000

At peak sales & marketing capacity

Where the money goes: Platform costs are ~$650/month (domain, servers, database). The rest funds human resources—ads, AI tokens, and the team steering the ship. Serving the system is low-cost; most spend goes to people who convert opportunities into customers.

The Math

At an average of $400/month per customer (blended across ERP and ElecareAI tiers):

Customers Needed

105

To hit $42K MRR

Current Customers

~25

Paying subscribers today

New Customers Needed

80

To reach break-even

Timeline to Break-Even (With $1M Investment)

Q2 2026

$10K MRR

50 customers · Sales team ramped

Q4 2026

$25K MRR

100 customers · Pipeline converting

Q2 2027

$42K MRR

150 customers · Self-sustaining

Why This Timeline?

We have the product and the pipeline (MAJ + CSMSJ). What we lack is dedicated sales capacity. Investment funds the team to convert opportunities that currently sit waiting.

What If We're Faster?

If MAJ conversion accelerates, we could hit break-even in 12 months instead of 18. The math works either way—we're showing the conservative path.

Strategic Pipeline

In late 2025, Elecare executed the CSMSJ memorandum of understanding and tabled the MAJ MOU pending signature (delayed by Hurricane Melissa)—positioning us for nationwide deployment in 2026.

Medical Association of Jamaica

~4,000 physicians

  • AI in Medicine Symposium 2026
  • Practice-Based Research Network (PBRN)
  • MAJ AI Champions peer-adoption program
  • 90-day window to definitive agreements

Status: MOU on table; signature pending post-Hurricane Melissa · Negotiating MCA/SOW/DPA

Caribbean School of Medical Sciences

100 students + 20 practices

  • Academic License Program (free platform access)
  • Curriculum integration pilot
  • Faculty development & certification
  • 180-day review cycle

Status: MOU executed · Academic year 2026 rollout

Market Access

4,000 doctors

MAJ represents every physician in Jamaica—institutional distribution vs. cold outreach.

Pipeline ARR (10% conversion)

$756K

400 doctors × $150/mo + 20 practices × $150/mo = $63K MRR annualized.

Break-Even Threshold

280 doctors

At $42K target burn (peak operations) and $150/doctor, we need 7% of MAJ to reach self-sustaining.

Why This Matters

These MOUs (CSMSJ signed; MAJ pending signature) convert "potential TAM" into "contracted pipeline." Investors aren't betting on cold outreach—they're betting on conversion probability from institutional partnerships.

2026 Milestones

Q1: Definitive agreements signed · Q2: Symposium preparation + first cohort onboarding · Q3-Q4: PBRN launch + scale physician adoption.

How the USD 1M SAFE fuels the pods

Funds are staged against the ARR runway: healthcare pods, Continuity Mesh corridors, CSA overlays, and SDS automation telemetry.

Spending map ties directly to the Elecare + ERP + CMN pods; SDS guardrails keep each quarter traceable in specs/inspections.

The Phoros Platform Components

Seven interconnected systems that work together. Each serves a specific purpose; together they form a complete business operating system.

Self-Updating Software

AI-assisted development that lets us ship updates quickly and safely. Means your investment funds sales growth, not large engineering teams.

Business Management (ERP)

Point of sale, payroll, inventory, CRM, and workflow automation—all in one dashboard. Works for clinics, retailers, schools, and media companies.

App Builder (IDE)

Our internal toolkit for building custom applications quickly. Partners and clients can use it to create apps tailored to their needs.

Customer Apps

The apps end-users interact with—ElecareAI for patients, retail portals, business dashboards. Built to work offline and sync when connected.

Continuity Network

Hardware and software that keeps businesses running during internet outages. Critical for the Caribbean where infrastructure can be unreliable.

Analytics Dashboard

Real-time visibility into operations, coverage maps, and business health. Helps identify where to expand and what needs attention.

Hardware Integration (Future)

Sensors, devices, and automation hardware that connects to the platform. Planned for 2027+; extends digital tools into the physical world.

Conservative vs. Ambitious Projections

We present two scenarios: a conservative path focused on Caribbean saturation, and an ambitious path assuming rapid MAJ conversion and aggressive expansion. Both build from the break-even milestone.

Starting Point: Break-Even First

Both scenarios assume we first reach $42K MRR (break-even) by Q2 2027. From there, growth depends on execution speed and market conditions.

Conservative Scenario — Caribbean Focus
Year ARR Target Customers Markets Key Drivers
2027 $500K 100+ Jamaica, Trinidad, Guyana, Barbados Break-even achieved; organic growth from existing pipeline
2028 $1.5M 300+ + Eastern Caribbean Partner programs launching; referral growth
2029 $3M 600+ CARICOM-wide Regional market leader in healthcare + SME
Ambitious Scenario — Rapid Conversion
Year ARR Target Customers Markets Key Drivers
2026 $3.9M 800+ Jamaica, Trinidad Rapid MAJ conversion (10%+); aggressive sales hiring
2027 $6.5M 1,200+ + Guyana, Barbados Partner channel acceleration; government contracts
2028 $10.6M 2,000+ CARICOM + beyond Hardware bundles; regional expansion

The Math: How We Get to $500K ARR (Conservative)

ElecareAI Revenue

$300K

100 healthcare practices × $250/mo avg

ERP Revenue

$150K

75 SME customers × $167/mo avg

Hosting + Add-ons

$50K

Continued organic growth

This requires <5% of identified TAM. Conservative, achievable, and self-funding from that point forward.

Equity Appreciation Potential

At $3M ARR with typical SaaS multiples (5-8x revenue), the business could be valued at $15-24M, compared to your entry at a $10M cap.

Note: Your investment converts to equity at the valuation cap. As the company grows and raises subsequent rounds at higher valuations, your equity appreciates accordingly.

2026

Healthcare Entry

Convert MAJ pipeline; establish ElecareAI as the Caribbean standard.

2027

Regional Expansion

Partner programs in Barbados, Guyana; SME acceleration.

2028

Platform Maturity

Multiple verticals generating revenue; platform flywheel spinning.

2029+

Market Leader

Dominant position in Caribbean business software; expansion options open.

Layered growth from SDS to Continuity Federation

ARR is modeled as a layered stack: healthcare subscriptions (Elecare), SME ERP seats, Continuity Mesh (CMN) corridors, and future Physical Network Agents (PNA) hardware. Each tier compounds the next.

2026

$3.9M ARR

Elecare + ERP pods in Jamaica/T&T

2027

$6.5M ARR

CSA commercialization + Barbados/Guyana coverage

2028

$10.6M ARR

PMA marketplace + CMN retainers

2029

$16.2M ARR

Hardware bundles + regional corridors

2030

$23.1M ARR

Continuity Federation contracts

Each bar reflects revenue contribution as a percentage of the 2030 target; stacked programs (Elecare, ERP, CMN, PNA) are locked by specs + inspections so expansion mirrors production-readiness.

TAM, SAM, and What We're Actually Targeting

We're transparent about market realities. Developing markets mean lower adoption rates and longer sales cycles. Here's our realistic view.

Healthcare Market Funnel

TAM (Total)

8,600

Physicians across Jamaica, Trinidad, Barbados, Guyana, and Eastern Caribbean (World Bank 2018-2023)

SAM (Serviceable)

2,500

Physicians in private practice with technology budget and willingness to adopt new systems

SOM (Obtainable)

400

Our realistic 3-year target: ~5% of TAM, ~16% of SAM

SME Market Funnel

TAM (Total)

350,000+

MSMEs across Jamaica (300K), Trinidad (25K), Guyana (6K+), Barbados

SAM (Serviceable)

10,000

Formal businesses with 5+ employees seeking integrated business software

SOM (Obtainable)

500

Our realistic 3-year target: <1% of TAM, 5% of SAM

Developing Market Reality

Lower Adoption Rates

We assume 5-15% conversion rates, not the 30%+ seen in developed markets. Many businesses still use paper or basic spreadsheets.

Price Sensitivity

Our pricing ($35-$399/mo for ERP, $300-$1,000 for ElecareAI) is calibrated for Caribbean purchasing power, not US enterprise rates.

Longer Sales Cycles

Relationship-driven sales in the Caribbean. That's why institutional partnerships (MAJ, CSMSJ) matter—they provide warm introductions at scale.

Infrastructure Challenges

Unreliable internet and power—which is exactly why our Continuity Mesh matters. We've built for these conditions, not despite them.

Regulatory Tailwind: Jamaica's Data Protection Act

Jamaica's Data Protection Act (2020) became enforceable on December 1, 2023. Healthcare providers processing sensitive personal data—including all patient medical records—now face mandatory compliance requirements that paper-based systems cannot meet.

Compliance Requirements

Healthcare providers must: register with the Office of the Information Commissioner, appoint a Data Protection Officer, implement encryption and access controls, respond to patient data access requests within 30 days, and report breaches within 72 hours.

Paper Records Can't Comply

Most Jamaican clinics still use paper records. Paper cannot provide audit trails, role-based access controls, encryption, or the data portability rights patients now have under law. Digital systems like ElecareAI are the only path to compliance.

Significant Penalties

Non-compliance: up to $2M JMD fine or 2 years imprisonment (summary); up to $5M JMD or 7 years (indictment). For corporate entities: fines up to 4% of annual global turnover. The MAJ is actively helping members understand these requirements.

Perfect Timing for ElecareAI

Enforcement mechanisms are being activated. Doctors who delayed now face real deadlines. Our MAJ partnership positions us as the compliant, affordable, local solution—right when the market needs it most.

Why this matters for conversion: Regulatory pressure creates urgency. Doctors aren't just buying software—they're buying compliance. Our ~30 warm leads from August are now facing a forcing function that didn't exist before December 2023.

Healthcare by Country

Jamaica: ~4,000 physicians (MAJ) · Trinidad: ~2,500 · Barbados: ~600 · Guyana: ~400 · Eastern Caribbean: ~1,100

Why We Can Win

No dominant regional competitor. US/EU software is expensive and not built for Caribbean conditions. We're local, affordable, and understand the market.

Expansion Path

Each new customer becomes a reference. Caribbean business networks are tight—word of mouth accelerates once we have critical mass in each market.

Bundle-level contribution & payback

Each product maintains 70%+ gross margin because AI-assisted development keeps our team lean and the Continuity Network reduces onsite support visits.

Offering ACV Gross Margin CAC / Payback Notes
ElecareAI Basic $3.6K 76% $1.4K · 6 mo Remote sales + nurse training; upsell path to Advanced
ElecareAI Pro $12K 82% $3K · 5 mo Includes network hardware + analytics; referrals reduce cost
ERP Gold (20 seats) $4.8K 72% $1.2K · 4 mo Mid-size businesses; bundled with all tiers
Continuity Network $6K 68% $1.5K · 5 mo Hardware add-on; margin improves at scale

Margins calculated using current hosting, support, and mesh install costs documented in devLog/specifications/656_phoros_invest_page_sync.md.

Can We Hit Our Targets With This Pricing?

Here's the math for our conservative $500K ARR goal (2027):

ElecareAI Revenue

$300K

100 practices at $250/mo avg (mix of Basic/Advanced)

ERP Revenue

$150K

75 SMEs at $167/mo avg (mix of Bronze/Silver/Gold)

Hosting + Add-ons

$50K

Continued growth from current base

Total: $500K ARR with 175 paying customers. This is ~5% of our SAM and represents achievable, ground-level execution.

Conservative Path

100 ElecareAI + 75 ERP customers by 2027 → $500K ARR. Achievable with current pipeline.

Ambitious Path

320 ElecareAI + 200 ERP customers by 2026 → $3.9M ARR. Requires rapid MAJ conversion + aggressive hiring.

Long-Term Potential

At 10% of SAM: 400 ElecareAI + 500 ERP → $5M+ ARR. Caribbean market leader position.

Mitigations + reporting cadence

Every risk is paired with a mitigation and tracked through SDS specs. KPI cadence keeps investors looped into the same dashboards we use internally.

Physician adoption pace

Risk: clinic onboarding slower than plan.

Mitigation: Elecare nurse enablement + Continuity OS demos packaged as 2-day intensives with guaranteed go-live SLA.

Hardware supply chain

Risk: Continuity Beacon/PNA kit lead times.

Mitigation: Local manufacturing MOU + SAFE funds reserved for buffer inventory; SDS spec 642 tracks BOM audits.

Regulatory / data residency

Risk: cross-border deployments require compliance approvals.

Mitigation: Company Secretary + legal counsel maintain CSA data-sharing MOUs; every deployment references privacy specs.

Go-to-market hiring

Risk: pods lag hiring plan.

Mitigation: HR/admin (Cheryl) runs rolling talent pipeline; pods instrumented via SDS checklists to avoid tribal knowledge.

Monthly

  • Pipeline: Elecare doctors, ERP seats, Beacon installs (commit vs. actual)
  • Retention: churn %, net revenue retention
  • Ops health: Continuity Beacon uptime, SDS similarity score

Quarterly

  • ARR vs. runway target (chart already on page)
  • Gross margin per bundle + CAC payback
  • CSA coverage & CMN corridor expansion

Reporting loop

  • All KPIs logged in devLog specs + inspection pairs
  • Investor digest emailed post-sprint with artifact links
  • Live dashboards shared via Command Center access

Global South operating system beyond the Caribbean

Phoros is not bounded by geography. The same SDS + ERP + CMN + CSA platform can run municipal, healthcare, and SME operations anywhere the incumbent stack fails.

After three years of focused R&D, every pillar—SDS, ERP, IDE, Progressive Mesh Apps, Continuity Mesh, Civic Signal Atlas, and Physical Network Agents—will be battle tested. At that moment Phoros becomes the first and only turnkey national operating system on the market.

Target Landscape

Countries across the global south with low-tech operations (West Africa, Central America, Pacific Islands) face the same outages, data fragmentation, and staffing gaps Jamaica solved with SDS + CMN.

Deployment Play

Duplicate the Elecare + ERP pods, hydrate CSA overlays with civic partners, and drop Continuity Beacons per corridor. SDS keeps specs, inspections, and consciousness IDs consistent across continents.

Revenue Potential

Healthcare markets alone exceed 100k physicians across the global south. Even a 2% penetration at $300–$1,000 per seat yields $7B+ ARR; Continuity Beacons + PNA hardware multiply that via infrastructure contracts.

Strategic Edge

Global south ministries need sovereign operating systems; Phoros already runs its own cloud, similarity checks, and deployment loops. We export the doctrine, not just code.

Dream stance: treat every corridor—Caribbean, Latin America, Africa, Pacific—as an SDS-governed franchise. Specs keep the blueprint aligned, and Continuity OS revenues scale with the gaps we fill.

Investor FAQ

Responses to the most common questions Mr. Mahfood and other partners raise.

How is the USD 1M SAFE deployed?

See the Capital Deployment map above. Funds are staged across four quarters: $580K to healthcare + SME sales pods, $500K to Continuity Mesh/CSA corridors, and $240K to SDS/IDE instrumentation and ops. Every tranche ties directly to ARR milestones (2026 target $3.9M ARR).

What ensures we can reach the ARR runway?

Pods are already live in Kingston, Port of Spain, and Georgetown; Elecare + ERP sampling grid (320 → 600 doctors) requires <7% of the Caribbean TAM. Risks are mitigated via nurse enablement, manufacturing MOUs, and compliance routines (see Ops & KPI section).

How do we track KPIs for investors?

Command Center dashboards publish monthly pipeline/retention/ops metrics, while quarterly reports cover ARR vs target, gross margin, and CSA coverage. Every KPI links to devLog specs and inspection artifacts for auditability.

What is our true market beyond Jamaica?

The Dream Case outlines 100k+ physicians and hundreds of thousands of SMEs across the global south. After three years of R&D, all seven pillars (SDS → PNA) are battle-tested, making Phoros the first turnkey national OS for any country needing Continuity OS.
